Terms and Conditions

ROUTCOM Inc. provides Wireless High Speed Internet Service (The "Service") to you on the terms set out below. Please read these terms of Service carefully before using the Service.

1. AGREEMENT: These Terms of Service, your signed Service Agreement and our Internet Usage Policy and all other policies posted on our Web site at www.routcom.com/policies constitute the entire agreement (the "Agreement") between you and ROUTCOM Inc. ("ROUTCOM" or "us" or "we") with respect to your use of the Service. By establishing an account or using the Service, you agree to be bound by and to use the Service in compliance with the Agreement. We may change, add or remove portions of the Agreement at any time. We will notify you of any changes to the Agreement by a posting on our web site, or by email, postal mail, or other means. Continued use of the Service following notice of the changes means that you agree to and accept the Agreement as amended. If you do not agree to the changes, your sole and exclusive remedy is to stop using the Service and notify us that you are terminating the Agreement.

2. THE SERVICE: The Service includes the Services specified on your Service Agreement and any other Services that we may provide to you. ROUTCOM provides the Service on a "reasonable efforts" basis and does not guarantee upload or download speeds. Service speed can vary depending on location, weather, inside wiring, Internet traffic, and other factors beyond our control.

3. CHANGES TO SERVICE: We reserve the right to change the Service, the monthly fees at any time upon 30 days notice. You understand that the wireless facilities used to provide the Service might change from time-to-time.

4. TERM: This Agreement will begin upon the activation of the Services and will continue for the minimum number of months specified on your signed Service Agreement. You acknowledge that you may not cancel this initial term. Upon expiry of the initial term, we will continue to provide the Service to you on the same Service plan (or on a similar Service plan if we no longer offer the same Service plan) and in such an event these Terms of Service will be automatically renewed for successive 1 month periods until terminated in accordance with Section 11.

5. FEES: You agree to pay us the applicable monthly fees for the Service, all applicable taxes, and any late payment charges that may be assessed (the "Fees"). You must provide us with accurate and complete billing information including your legal name, address, telephone number, and credit card/billing information, and report all changes to this information to us within 30 days of the change. You authorize us to make inquiries and to receive information about your credit experience from others, to enter this information in your file.

6. PAYMENTS: You authorize us to charge the Fees to the credit card or by way of post-dated cheques that you specified when you purchase the Services. The post-dated cheques must be received in advance. We are not responsible for any fees for overdrawn accounts or exceeding credit card limits. Delinquent accounts may be suspended or cancelled at our sole discretion; however, Fees will continue to accrue until the account is cancelled. We may bill an additional charge to reinstate a suspended account. All charges are considered valid unless disputed in writing within 60 days of the billing date. Adjustments will not be made for charges that are more than 60 days old.

7. EARLY CANCELLATION: You agree that if you terminate your subscription to the Services prior to the expiration of the initial term, we have the right, in addition to all other amounts due to us pursuant to these Terms of Service, as liquidated damages and not as a penalty, to receive from you an aggregate amount determined by multiplying the number of full months remaining in the non-cancelable initial term, by the monthly Fees specified on your signed Service Agreement.

8. INSTALLATION: You are responsible for all costs and scheduling associated with the installation. You are also responsible for all inside wiring necessary to install the Service. Installation and use of the Equipment may result in Service outages or potential damage to your computer. You are solely responsible for backing up all existing computer files. ROUTCOM and its employees, agents, contractors, and representatives shall have no liability whatsoever for any damage to or loss or destruction of any of your hardware, software, files, data, or peripherals. You assume responsibility for impacts on or loss of any warranty associated with the opening of your computer for installation.

9. DISCLAIMER AND LIMITATION OF LIABILITY: The Service is provided on an "as is" and "as Available" basis. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful Components. Further, we do not warrant that any data or files sent by or to you will be transmitted in uncorrupted form or within a reasonable period of time. The entire risk as to the quality and performance of the Service is with you. We make no express warranties and waive all implied warranties including, but not limited to, warranties of title, non-infringement, merchantability, and fitness for a particular purpose regarding the Service or any merchandise, information or Service provided through the Service or the Internet generally. No advice or information given by our representatives or us shall create a warranty. Routcom and its employees and agents are not liable for any costs or damages arising directly or indirectly from your use of the Service or the internet including any indirect, incidental, exemplary, multiple, special, punitive, or consequential damages. In any event, ROUTCOM's cumulative liability to you for any and all claims relating to the use of the Service shall not exceed the total amount of fees paid by you during the previous one-year period. Furthermore, ROUTCOM shall have no liability whatsoever for any claims, losses, actions, damages, suits, or proceedings resulting from: other users accessing your computer; security breaches; eavesdropping; denial of Service; attacks; interception of traffic sent or received using the Service; your reliance on or use of the equipment or Services, or the mistakes, omission, Interruptions, deletion of files, errors, defects, delays in operation, transmissions, or any failure of performance of the equipment or Services; the use of the equipment or Services by you or a third party that infringes the copyright, patent, trademark, trade secret, confidentiality, privacy, or other industrial or intellectual property rights, proprietary rights or contractual rights of any third party.

10. INDEMNITY: You agree to hold Routcom harmless and indemnify it in respect of any claim whatsoever related to or in connection with your use of the service. Such indemnity shall apply to all damages, legal fees and costs incurred by or on behalf of Routcom in connection with any such claim.

11. TERMINATION: Either you or we may terminate this Agreement at any time after the initial term upon written notice given to the other party. If you should fail to pay the Fees or to pay any other amount owed to us at the times and in the amounts specified, or otherwise breach these Terms of Service, we may terminate the Services without notice and without any liability whatsoever. Reactivation of the Services may result in a reactivation charge payable by you as established by us. If we are prevented from providing the Services by any law, regulation, requirement, notice or ruling issued in any form whatsoever by judicial or government authority, or decide to cease offering the Services, you acknowledge and agree that we may immediately cease providing the Services without any liability to you.

12. FORCE MAJEURE: Routcom shall not be liable in damages nor shall you have the right to terminate this Agreement for any delay or default in performing hereunder if such delay or default is caused by conditions beyond its control including, but not limited to Acts of God, Government restrictions, lose of service due to weather related problems, wars, insurrections and/or any other cause beyond the reasonable control of Routcom.

13. GENERAL: The laws of the province in which you are using the Service exclusively govern this Agreement. We may sell, assign, or transfer your account to a third party without notice to you. You may not assign or transfer the Service without our written consent.

14. ENTIRE AGREEMENT: This Agreement together with all agreements and policies specifically incorporated by reference herein constitutes the entire agreement between the parties. By signing this agreement you are representing you have the authority to bind the named customer and agree that this agreement is the sole agreement between the parties, excluding any other agreements or understandings that may have been made or reached prior to or following the execution of this Agreement. By signing a Wireless Service Contract, Wireless Equipment and Installation Form or Wireless Installation Contract I agree that I am agreeing to the terms and conditions set out herein.


Routcom Privacy Policy

Protecting your privacy is important to Routcom Inc. ("Routcom"). This Policy explains how ROUTCOM collects, uses, and discloses the personal information you may provide while using ROUTCOM's Web site (the "Web Site") and in its Electronic Publications, newsletter, and announcements ("Electronic Communications") or in respect of other information you may provide to us. Any personal information you provide to us will be treated with care, and subject to this Policy will not be used or disclosed in ways to which you have not consented. By using the Web Site or by entering into a service agreement with Routcom, you signify your consent to the collection, use, and disclosure of your personal information in accordance with this Policy. If you do not agree with this Policy, you may not use the Web Site.

Information Automatically Collected - Non-Identifiable Information - Like many other Web sites, the Web Site may automatically collect certain non-identifiable information regarding Web Site users, such as the Internet Protocol (IP) address of your computer, the IP address of your Internet Service Provider, the date and time you access the Web Site, the Internet address of the Web site from which you linked directly to the Web Site, the operating system you are using, the sections of the Web Site you visit, the Web Site pages read and images viewed, and the materials you post to or download from the Web Site. This non-identifiable information is used for Web Site and system administration purposes and to improve the Web Site. Your non-identifiable information may be disclosed to others and permanently archived for future use.

Cookies - The Web Site may use "cookies", a technology that installs information on a Web Site user's computer to permit the Web Site to recognize future visits using that computer. Cookies enhance the convenience and use of the Web Site. You may choose to decline cookies if your browser permits, but doing so may affect your use of the Web Site and your ability to access certain features of the Web Site.

Your Personal Information - During your use of the Web Site or by entering into a service agreement, you may be asked to voluntarily provide certain personal information (such as your name, email address, postal address, and telephone number) for purposes such as facilitating communications with you or for applying for access to certain special features or areas of the Web Site.

Use of Your Personal Information - ROUTCOM may use your personal information to contact and correspond with you, to respond to your inquiries, and as otherwise permitted by law. Generally, ROUTCOM will consider the fact that you have voluntarily visited the Web Site and have provided ROUTCOM with contact information to signify your consent for ROUTCOM to use your contact Information for purposes of tracking our communications with you and providing you with information such as Electronic Communications relating to our company which we think may be of interest or use to you.

Emails from ROUTCOM - If you provide your email address, ROUTCOM may send to you, from time to time, email containing information about ROUTCOM and other matters it believes will interest you. At any time you may ask ROUTCOM to stop sending you email and other information by contacting webmaster@Routcom.com.

Tracking Information - In addition, ROUTCOM may use non-personal information to create aggregate tracking information reports regarding Web Site user demographics and Web Site traffic patterns. None of the tracking information in the reports can be connected to the identities or other personal information of individual users. ROUTCOM also may link tracking information with Web site users' personal information. Once such a link is made, all of the linked information is treated as personal information and will be used and disclosed only in accordance with this Policy, and in accordance with the law.

Disclosure of Your Personal Information - ROUTCOM may disclose your personal information to a government institution that has asserted its lawful authority to obtain the information or where ROUTCOM has reasonable grounds to believe the information could be useful in the investigation of unlawful activity, or to comply with a subpoena or warrant or an order made by a court, person or body with jurisdiction to compel the production of information, or to comply with court rules regarding the production of records and information, or to protect ROUTCOM's rights and property

Storing and Securing Your Information - ROUTCOM may store and process your personal information at ROUTCOM's offices in Canada. To help protect the confidentiality of your personal information, ROUTCOM employs security safeguards appropriate to the sensitivity of the information. Nevertheless, due to the nature of the Internet and Internet technologies, security and privacy risks cannot be eliminated and ROUTCOM cannot guarantee that your personal information will not be disclosed in ways not otherwise described in this Policy.

Accessing Your Personal Information - You may request access to your personal information and information about ROUTCOM's collection, use and disclosure of that information by contacting ROUTCOM at webmaster@Routcom.com. Subject to certain exceptions prescribed by law, you will be given reasonable access to your personal information, and will be entitled to challenge the accuracy and completeness of the information and to have it amended as appropriate. You can help ROUTCOM maintain the accuracy of your information by notifying ROUTCOM of any changes to your personal information. Withdrawal of Consent - In some jurisdictions, you may withdraw your consent to the use and intention of personal information about you. To do this, please contact our webmaster@Routcom.com as noted above

Other Web sites - The Web Site may contain links to other Web sites or Internet resources. When you click on one of those links you are contacting another Web site or Internet resource that may collect information about you voluntarily or through cookies or other technologies. ROUTCOM has no responsibility or liability for or control over those other Web sites or Internet resources or their collection, use and disclosure of your personal information.

Web Site Use Agreement - The Web Site Use Agreement governing your use of the Web Site (which may be viewed by clicking here) contains important provisions disclaiming and excluding the liability of ROUTCOM and others regarding your use of the Web Site and provisions determining the applicable law and exclusive jurisdiction for the resolution of any disputes regarding your use of the Web Site. Each of those provisions also applies to any disputes that may arise in relation to this Policy and the collection, use and disclosure of your personal information, and are of the same force and effect as if they had been reproduced directly in this Policy.

Former Users - If you stop using the Web Site or your permission to use the Web Site is terminated by ROUTCOM, ROUTCOM may continue to use and disclose your personal information in accordance with this Policy as amended from time to time, and subject to compliance with the law.

Privacy Policy Changes - This Policy may be changed by ROUTCOM from time to time in ROUTCOM's sole discretion and without any prior notice or liability to you or any other person. The collection, use and disclosure of your personal information by ROUTCOM will be governed by the version of this Policy in effect at that time. New versions of this Policy will be posted here. Your continued use of the Web Site and receipt or request of any Electronic Communication subsequent to any changes to this Policy will signify that you consent to the collection, use and disclosure of your personal information in accordance with the changed Policy. Accordingly, when you use the Web Site or receive or request any Electronic Communication, you should check the date of this Policy and review any changes since the last version. You should also bookmark this page and periodically review this Policy to ensure that you are familiar with the most current version.

Wireless Internet Usage Policy
We will revise this policy on occasion and the current policy will be available at www.routcom.com
1.0 Resale of the Internet Service is strictly forbidden. Sharing of the service via a local area network is permitted within a single family residence and by a single business at one location
2.0 We may terminate the agreement immediately by giving written notice if we suspect that you or anyone accessing your system is engaging in irresponsible or unethical Internet Usage or illegal behaviour. You bear the responsibility and consequences for any misuse by a third party of the Internet Services you have contracted for.
2.1 Illegal Behaviour defined

  • a) Disseminate hate propaganda
  • b) Engage in any type of illegal soliciting (pyramid schemes, etc.)
  • c) Post , distribute or link to illegal material such as , but not limited to, child pornography.
  • d) Engage in fraudulent activities such as forgery or impersonation.
  • e) Disseminate material in violation of others moral, copyright or intellectual property rights.
  • f) Slander, threaten, harass, defame or abuse others.
  • g) Violate the contractual , property or civil rights of others, including rights related to privacy and publicity.
  • h) Violate any other applicable law.

    2.2 Irresponsible & Unethical Usage You may not use our service to:
  • a) Distribute any type of mass e-mailing software or any other type of software designed to overwhelm the resources of ours or others Internet operations.
  • b) Attempt to use or distribute tools designed for compromising security, such as network probing tools, packet sniffers, ping bombers, password guessing programs or any type of cracking tools.
  • c) Attempt to restrict, inhibit or degrade others use of the Internet Services
  • d) Distribute or engage in any multi-level marketing scams. (pyramid, etc.)
  • e) Send E-mail messages to others who have explicitly requested that you refrain from doing so.
  • f) Send unsolicited e-mails to others that degrade the performance of the network.
  • g) Attempt to access the computer resources or data of another user without the express consent of that user.
  • h) Attempt to bypass the user authentication or security of any network , host or account.
  • i) Attempt to probe the security of any network which is not your exclusive property.
  • j) Attempt to log into or make use of any server or account for which you do not have authorization to do so.
  • k) Attempt to interfere with any computer network or telecommunications services of any network , host or user, including attempting to crash a host, flood a network, overload a service or create a denial of service attack.
  • l) Transmit any software containing a virus, worm, Trojan horse or any other software whose purpose is harmful or disruptive.
  • m) Attempt to bypass data storage, bandwidth usage or transfer usage limitations as established in any agreements with ROUTCOM Inc.
  • n) Attempt in any way to intentionally interfere with our ability to maintain the network, deliver the Internet Service and monitor the Internet Service.
  • o) In any way affect our ability to provide Internet Service to others.

    3.0 Due to the nature of the Internet we cannot guarantee safety and security. ROUTCOM accepts no responsibility whether in contract, tort or otherwise for any damage you may sustain in using the Internet Services.
    4.0 Breach of Usage Policy. Compliance with this Usage Policy is mandatory. If you fail to comply, ROUTCOM Inc. reserves the right to :
  • a) Cancel your service
  • b) Suspend the service
  • c) Terminate all or any service agreements with you.
  • d) Remove any content which breaches this policy.
  • e) Require you to remove any content which breaches this policy.

    Routcom Website Agreement

    Your Acceptance of this Agreement
    This is an Agreement between you and Routcom Inc. ("Routcom"), and governs your use of the ROUTCOM Web site and its content (collectively the "Web Site"). Each time you use the Web Site you signify your acceptance and agreement, and the acceptance and agreement of any person you purport to represent (and for purposes of this Agreement, "person" includes natural persons and any type of incorporated or unincorporated entity), without limitation or qualification, to be bound by this Agreement, and you represent and warrant that you have the legal authority to agree to and accept this Agreement on behalf of yourself and any person you purport to represent.

    Permitted Users and Access
    The Web Site may be used only by persons who are at least 19 years old and can form legally binding contracts under applicable law. The Web Site may not be used by persons in jurisdictions where access to or use of the Web Site or any part of it may be illegal or prohibited.

    Disclaimer and Liability Exclusion
    ROUTCOM DOES NOT ACCEPT ANY LIABILITY FOR YOUR USE OF THE WEB SITE. YOUR USE OF THE WEB SITE IS AT YOUR OWN RISK. THE WEB SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, AND INCLUDING WITHOUT LIMITATION IMPLIED REPRESENTATIONS, WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, PERFORMANCE, DURABILITY, AVAILABILITY, TIMELINESS, ACCURACY, OR COMPLETENESS, ALL OF WHICH ARE HEREBY DISCLAIMED BY ROUTCOM TO THE FULLEST EXTENT PERMITTED BY LAW. ROUTCOM WILL NOT UNDER ANY CIRCUMSTANCES BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY LOSS OR DAMAGE ARISING FROM, CONNECTED WITH, OR RELATING TO THE USE OF THE WEB SITE BY YOU OR ANY OTHER PERSON.

    Personal Information Privacy
    ROUTCOM collects, uses and discloses your personal information in accordance with the Routcom Privacy Policy. By accepting this Agreement, and each time you use the Web Site, you consent to ROUTCOM's collection, use and disclosure of your personal information in accordance with the Policy as it then reads without any further notice or any liability to you or any other person.

    Ownership and Permitted Use of the Web Site
    Copyright (c) 2001 Routcom Inc.. All rights reserved. The Web Site, including all of its content, is the property of ROUTCOM and others, and is protected by Canadian and international copyright, trade-mark, and other laws. Your use of the Web Site does not transfer to you any ownership or other rights in the Web Site or its content. The Web Site is made available to you for your lawful, personal, non-commercial use only. You may print or download Web Site pages for your personal, non-commercial use provided that you do not modify any of the Web Site pages or other content and you do not remove or alter any visible or non-visible identification, marks, notices, or disclaimers. You may not use the Web Site or its content for any other purpose or in any other way. In particular, the Web Site and its content may not be copied, imitated, reproduced, republished, uploaded, posted, transmitted, modified, indexed, catalogued, mirrored or distributed in any way, in whole or in part, without the express prior written consent of ROUTCOM.

    Trade-mark Information
    ROUTCOM(tm) is a trade-marks, trade-names and service-marks owned by ROUTCOM. Other product and company names and logos appearing on the Web Site may be registered or unregistered trade-names, trade-marks and service-marks of their respective owners. Any use of the trade-names, trade-marks, service-marks and logos displayed on the Web Site (collectively "Marks"), except as expressly provided in this Agreement, is strictly prohibited. Nothing appearing on the Web Site or elsewhere shall be construed as granting, by implication, estoppel, or otherwise, any licence or right to use any Marks.

    Other Sites
    For your convenience, the Web Site may include links to other Internet sites or resources and businesses operated by other persons (collectively "Other Sites"). Other Sites are independent from ROUTCOM, and ROUTCOM has no responsibility or liability for or control over Other Sites, their business, goods, services, or content. Your use of Other Sites and your dealings with the owners or operators of Other Sites is at your own risk.
    No Linking, Framing, Mirroring, Scraping, Data-Mining and Postings
    Links to the Web Site without the express written permission of ROUTCOM are strictly prohibited. To request permission to link to the Web Site, please contact ROUTCOM at webmaster@Routcom.com. The framing, mirroring, scraping or data-mining of the Web Site or any of its content in any form and by any method is strictly prohibited. You may not use any collaborative browsing or display technologies in connection with your use of the Web Site or to post comments, communications, or any other data of any kind to or on the Web Site with the intention that such postings may be viewed by other users of the Web Site.

    Termination of this Agreement and the Web Site
    If you breach any provision of this Agreement, you may no longer use the Web Site. ROUTCOM may, at any time and for any reason and in its sole discretion, change, suspend or terminate, temporarily or permanently, the Web Site or any part of it, or your permission to use the Web Site, without any prior notice or liability to you or any other person. If this Agreement or your permission to use the Web Site is terminated by you or ROUTCOM for any reason, then: (a) this Agreement will nevertheless continue to apply and be binding upon you in respect of your prior use of the Web Site; and (b) ROUTCOM may continue to use and disclose your personal information in accordance with the Routcom Privacy Policy as amended from time to time.

    Governing Law and Dispute Resolution
    This Agreement, your use of the Web Site, and all related matters are governed solely by the laws of the Province of Ontario, Canada and applicable federal laws of Canada, excluding any rules of private international law or the conflict of laws which would lead to the application of any other laws. Any dispute between ROUTCOM and you or any other person arising from, connected with or relating to the Web Site, this Agreement or any related matters must be resolved before the Courts of the Province of Ontario, and you hereby irrevocably submit and attorn to the original and exclusive jurisdiction of those Courts in respect of any such dispute or matter. Any claim or cause of action you may have arising from, connected with, or relating to your use of the Web Site, this Agreement, or any related matters must be commenced in a court of competent jurisdiction in the Province of Ontario within six (6) months after the claim or cause of action arises, after which time the claim or cause of action is forever barred.
    Changes to this Agreement
    ROUTCOM may, in its sole discretion, change, supplement or amend this Agreement as it relates to your future use of the Web Site from time to time, for any reason, and without any prior notice or liability to you or any other person. You may not change, supplement, or amend this Agreement in any manner.

    Other Matters This Agreement, including any changes made to this Agreement from time to time, constitutes the entire agreement between you and ROUTCOM relating to your use of the Web Site, and supersedes all previous agreements, written, oral or otherwise, between you and ROUTCOM with respect to your use of the Web Site. If any provision of this Agreement is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed to be severed from the rest of this Agreement and shall not affect the validity and enforceability of any remaining provisions. The provisions of this Agreement will enure to the benefit of and be binding upon each of ROUTCOM and its successors and assigns and related persons, and you and your heirs, executors, administrators, successors, permitted assigns, and personal representatives. You may not assign this Agreement or your rights and obligations under this Agreement without the express prior written consent of ROUTCOM which may be withheld in ROUTCOM's sole discretion. ROUTCOM may assign this Agreement and its rights and obligations under this Agreement without your consent. No consent or waiver by either party to or of any breach or default by the other party in its performance of its obligations under this Agreement will be deemed or construed to be a consent to or waiver of a continuing breach or default or any other breach or default of those or any other obligations of that party. No consent or waiver will be effective unless in writing and signed by both parties. .
